SUMMARY American Management Services LLC has designated the Corporate Paralegal / Contract Administrator as the individual within the company responsible for providing administrative and subject matter support to the General Counsel with respect to (1) contract matters and (2) corporate and other matters as assigned. REPORTING RELATIONSHIP The position reports to the General Counsel, and is a 40 hour per week, full-time, exempt position. ESSENTIAL FUNCTIONS Compliance and corporate governance matters o Maintaining minute books and corporate records, filing annual reports, handling routine entity management and updating our database. Process, track and enter related invoices into Yardi for payment. o Liaise with the Registered Agent on corporate matters. Draft corporate resolutions as required.
Licensing o File state real estate license applications as necessary, and maintenance of corporate real estate license data base.
Contract management o Intake of Property Management Agreements and other corporate contracts submitted for review, and maintenance of contract database. In addition, responsible for initial substantive review of PMAs. o Assist GC in review of existing agreements and templates to identify areas requiring updating to ensure compliance o Negotiate assigned contracts and assorted vendor contracts in accordance with Company policies and guideline. Manage contract flow process from inception through signature and archiving, including loading completed agreements into the corporate electronic database. o Correspond and communicate with appropriate personnel concerning the terms of the contract. o Monitor renewal periods and notify appropriate personnel well in advance of approaching deadlines. o Prepare and disseminate contract renewals and terminations. Litigation o Litigation support tasks, including intake of service of process, researching and managing tender of claims and lawsuits, investigating claims, managing discovery, responding to subpoenas, processing legal invoices and/or maintaining legal reporting function and files. QUALIFICATIONS The individual must be able to perform all essential functions satisfactorily. The requirements define the knowledge, skill, and/or ability necessary to perform the essential functions. EDUCATION AND EXPERIENCE Legal Assistant / Paralegal Certification or Associates Degree in legal/paralegal studies is required. 3+ years of contract review, administration, negotiation, and drafting experience required (preferably within the real estate / property management industry). Four-year degree preferred with work experience in a corporate environment. Previous litigation experience also preferred. JOB KNOWLEDGE AND SKILLS Excellent communications skills, strong attention to detail and exceptional organizational skills Solid administrative skills and strong knowledge of MS Office Suite Ability to analyze, problem-solve and take initiative when appropriate; Ability to seek guidance when necessary Understanding of legal formalities, terms and principals Ability to perform legal and/or factual research in a timely manner and organize findings appropriately Familiarity with database and document management software Ability to work independently and in a team oriented environment Ability to set priorities and handle multiple tasks simultaneously with minimal supervision PHYSICAL REQUIREMENTS The physical demands described are representative of those that must be met by an employee to successfully perform the essential functions of the job.
